Juzala Salwa had the pleasure of advising the financing entities on a private debt financing transaction for acquisition from Poczta Polska S.A. by a company from the Cavatina Holding group of a real estate located in Warsaw at ul. Chmielna 75.
The financing obtained was earmarked for financing of the acquisition of real estate in a prestigious location in the very centre of Warsaw - at ul. Chmielna 75 by an entity from the Cavatina Holding group for a gross price of PLN 147.6 million. The structure of the financing transaction included syndicated financing combining financing in the form of loans and financing in the form of non-public bonds. The transaction structure also provided for a number of collaterals for the respective financiers and detailed inter-creditor arrangements of the financiers.
The scope of Juzala Salwa Law Firm's services included comprehensive advice on the preparation and negotiating, together with Cavatina Holding Group's legal advisors and Sadkowski and Partners law firm representing some of the financiers, of all legal documentation related to the bond issue, loan and the financing's collateral, as well as preparation and negotiation of intercreditor agreements related to the syndicated nature of the financing.
